Terms and Conditions of Use

1. Introduction and Acceptance

These Terms and Conditions of Use (hereinafter, the "Terms") govern access to, browsing of, and use of the website universidaduk.com (hereinafter, the "Site"), its associated digital platforms, and the educational services offered by Kuepa de México, S.A. de C.V. and the other entities within its corporate group that operate under the "Universidad Uk" brand (hereinafter, collectively, "Universidad Uk," the "University," "we," or the "Group").

By accessing the Site, creating a user account, requesting information, enrolling in any academic program, or using any of our services, you acknowledge that you have read, understood, and accepted these Terms, as well as the Privacy Notice available at universidaduk.com/aviso-de-privacidad. If you do not agree with any provision, you must refrain from using the Site and the Services.

These Terms apply to all users of the Site, regardless of their geographic location. For Students enrolled in an academic program, these Terms are supplementary to the Educational Services Agreement and the applicable Academic Regulations. In the event of a conflict, the provisions of the Educational Services Agreement shall prevail.

2. Eligibility and User Account

2.1. Eligibility Requirements

To use the Site and the Services, you represent that:

• You are of legal age under the laws of the country in which you reside, or you have the authorization of your parent, mother, or legal guardian.
• You have the legal capacity to accept these Terms and to assume the obligations arising therefrom.
• The information you provide is truthful, complete, and up to date.

2.2. User Account

By creating an account, you agree to:

• Create and maintain a single personal account.
• Not share your login credentials with third parties.
• Immediately notify the University of any unauthorized use of your account or any security breach of which you become aware.

All activity carried out from your account shall be presumed to have been performed by you. The University reserves the right to suspend or cancel accounts that fail to comply with these requirements.

3. Description of Services

Universidad Uk offers academic programs delivered entirely online, which may include synchronous (live) classes, recorded content, digital materials, assessments, practical activities, academic tutoring, and administrative support, as well as any other service that the University makes available through the Site or the Platform (hereinafter, the "Services").

The University reserves the right to modify, expand, or discontinue programs, content, features, or tools at any time, while always honoring commitments made to Students enrolled in an active program.

4. Academic Validity and RVOE

4.1. Official Recognition

Universidad Uk's academic programs hold, where applicable, Official Recognition of Studies (RVOE, by its Spanish acronym) granted by the competent educational authority in Mexico (SEP). The RVOE is granted on a per-program basis, not on an institutional basis. RVOE information for each program is published on its program page within the Site.

4.2. International Validity

Degrees and certificates issued by the University may be eligible for apostille under the Hague Convention, which facilitates their recognition in signatory countries. However, the acceptance, validation, or equivalency of degrees by educational institutions or organizations in other countries is subject to the procedures and requirements established by each institution or authority. The University does not guarantee automatic recognition of its degrees outside Mexico.

4.3. User Responsibility

It is the Student's responsibility to verify, before enrolling, that the academic program of interest meets their academic and professional needs, as well as the recognition or professional licensure requirements in effect in the country where they intend to practice.

5. Intellectual Property

5.1. University Content

All content available on the Site and the Platform—including, but not limited to: recorded classes, course materials, texts, images, videos, audio, software, trademarks, logos, trade names, designs, site structure, and any other element—is the property of Universidad Uk, Kuepa de México, S.A. de C.V., Group entities, or third parties who have authorized its use, and is protected by applicable intellectual and industrial property laws and international treaties.

The user receives a personal, non-exclusive, non-transferable, revocable, and limited license solely to access the Site's content for informational purposes and, where applicable, for academic training. The reproduction, distribution, public communication, bulk downloading, modification, commercialization, reverse engineering, or creation of derivative works from the content, in whole or in part, without prior written authorization from the University, is prohibited.

5.2. User-Generated Content

Academic assignments, forum posts, projects, and other content generated by the user within the framework of a program or activity (hereinafter, "User Content") are authored by the user. By sharing User Content through the Platform, the user grants the University a free, non-exclusive, worldwide, and perpetual license to use such content for academic, assessment, accreditation, institutional archiving, service improvement, and, where applicable, educational or promotional dissemination purposes, respecting the author's moral rights at all times.

The University reserves the right to remove or moderate any User Content that it considers contrary to these Terms, the Academic Regulations, or applicable law.

6. Use of Artificial Intelligence and Automated Systems

6.1. Use of AI by the University

The University uses automated systems and artificial intelligence to support query handling, request follow-up, communication generation, and the improvement of the educational experience. These systems may participate in initial assistance, query classification, or message generation, but they do not, on their own, make decisions that produce definitive academic or legal effects without human intervention.

6.2. Use of AI by the Student

The use of generative artificial intelligence tools (such as ChatGPT, Gemini, Claude, or others) by the Student in the preparation of academic work, assessments, or any graded activity is governed by the rules set forth in the Academic Regulations and in the specific instructions for each program or course. Unauthorized use of such tools may be considered academic fraud, with the consequences set forth in Section 8 of these Terms.

6.3. Right to Human Assistance

The user may request to be assisted by a human person at any time, through the contact channels indicated in Section 15 of these Terms.

7. Acceptable Use Policy

7.1. Prohibited Uses

The user agrees not to use the Site, the Platform, or the Services to:

• Share, distribute, or publish illegal, defamatory, discriminatory, threatening, obscene content, or content that promotes unlawful activities.
• Harass, bully, intimidate, or engage in any form of violence against other users, instructors, or University staff.
• Reproduce, distribute, resell, or commercialize University content without authorization.
• Engage in scraping, automated data extraction, data or text mining, or use the content to train artificial intelligence models.
• Access or attempt to access other users' accounts, restricted areas of the system, or confidential information.
• Interfere with the operation of the Site or the Platform, including the distribution of viruses, denial-of-service attacks, or any activity that compromises security.
• Impersonate another person or falsely claim an affiliation with the University.
• Use the Platform or the Services for purposes other than educational or informational ones.

7.2. Consequences

Violation of this policy may result in the suspension or cancellation of the user's account, without prejudice to any applicable legal action and without any right to a refund.

8. Academic Integrity

8.1. General Principle

The University promotes a culture of honesty and academic integrity. Every Student agrees that the work they submit shall be the result of their own intellectual effort, unless the instructions of the program or course expressly authorize collaboration or the use of specific tools.

8.2. Prohibited Conduct

The following are considered violations of academic integrity, among others:

• Plagiarism:presenting as one's own ideas, texts, data, or materials from another person or source without proper attribution. This includes unattributed translation or paraphrasing, as well as the use of AI-generated content presented as one's own when not authorized.
• Identity fraud:performing academic activities (exams, assessments, submissions) using another Student's account, or allowing a third party to perform them using one's own.
• Academic fraud: falsifying data, altering grades, improperly obtaining assessments, or hiring third parties to prepare academic work.
• Unauthorized dissemination: sharing exam questions, answers, solutions, or assessment materials with persons not authorized to receive them.

8.3. Consequences

Violations of academic integrity may be sanctioned in accordance with the Academic Regulations, with measures ranging from annulment of the assessment to permanent expulsion, without any right to a refund. The determination of the sanction rests with the University.

9. Payments, Tuition, and Refunds

9.1. Payment Model

Universidad Uk's academic programs operate under a monthly tuition model, the amount, payment method, and conditions of which are set forth in the Educational Services Agreement and in the corresponding program page. Amounts are expressed in the currency indicated in each case.

9.2. Consequences of Late Payment

Failure to make timely payments may result in suspension of access to the Platform and Services, administrative charges, and, in the event of delinquency exceeding ninety (90) days, cancellation of enrollment.

9.3. Withdrawal and Refunds

The Student may request withdrawal at any time in accordance with the procedure established in the Educational Services Agreement. Refund conditions, non-refundable items, and refund timelines are governed by the provisions of said Agreement.

9.4. Cancellation Attributable to the University

In the event of cancellation of a program due to causes exclusively attributable to the University, the University shall refund the amounts corresponding to the undelivered period or offer relocation to an equivalent program, at the Student's choice.

10. Platform Availability and Technical Requirements

The University shall use its best efforts to maintain the Platform available on a continuous basis. However, the user acknowledges that the provision of digital services may be temporarily interrupted due to scheduled maintenance, updates, telecommunications network failures, acts of God, or force majeure.

The University shall not be liable for interruptions caused by the user's equipment, internet connection, or software; by telecommunications providers outside the University's control; or by acts of God or force majeure. It is the user's responsibility to have a computer with a stable internet connection, webcam, microphone, an up-to-date browser, and any other technical requirements published by the University on the Site.

11. Communications

By providing your contact information, you agree to receive communications from the University via email, phone calls, SMS messages, and instant messaging services such as WhatsApp. Such communications may be for informational, commercial, academic follow-up, or administrative purposes, and may be carried out in whole or in part through automated systems or systems assisted by artificial intelligence.

The user may revoke consent to receive commercial communications at any time, through the opt-out mechanisms included in each communication or by contacting the University through the channels indicated in Section 15, without affecting the provision of the contracted Services.

12. Disclaimer of Warranties and Limitation of Liability

12.1. Disclaimer of Warranties

The Services and the content of the Site are provided "as is" and "as available." The University does not warrant that the Site or the Platform will be free of errors, interruptions, viruses, or other harmful components, nor that the content will always be accurate or updated in real time.

Obtaining a degree or certificate issued by Universidad Uk does not in itself guarantee employment, career advancement, professional licensure in a specific jurisdiction, or automatic recognition by other educational institutions, employers, or organizations.

12.2. Limitation of Liability

To the maximum extent permitted by applicable law, the University's liability for any claim arising from these Terms or from the use of the Services shall be limited to the amounts actually paid by the user to the University during the six (6) months prior to the event giving rise to the claim.

The University shall in no event be liable for indirect, incidental, special, or consequential damages, lost profits, loss of data, or loss of opportunity.

12.3. Consumer Rights

Nothing in these Terms limits, excludes, or waives any rights that consumer protection legislation or any other mandatory public policy law of the user's country of residence grants on a non-waivable basis.

13. Indemnification

To the extent permitted by applicable law, the user agrees to indemnify, defend, and hold harmless Universidad Uk, its affiliates, officers, employees, collaborators, and service providers against any claim, damage, loss, cost, or expense (including reasonable legal fees) arising from: (a) use of the Site or the Services in violation of these Terms; (b) infringement of third-party rights by the user; or (c) User Content that infringes intellectual property rights or any other applicable law.

14. Governing Law, Jurisdiction, and Dispute Resolution

14.1. Governing Law

These Terms are governed by the laws in force in the United Mexican States.

14.2. Local Consumer Protections

Notwithstanding the foregoing, these Terms shall not deprive the user of the mandatory protections granted by the consumer protection laws of the country in which they have their habitual residence, where such protections are non-waivable under local law.

14.3. Dispute Resolution

For any dispute arising from these Terms, the parties shall first seek an amicable and direct resolution. If no agreement is reached, disputes shall be submitted to the jurisdiction of the competent courts of Mexico City, Mexico, unless the laws of the user's country of residence establish a different and non-waivable protective forum.

The user, in their capacity as a consumer, shall in all cases retain the right to file a conciliation claim before the consumer protection authority of their country (in Mexico, the Federal Consumer Protection Agency — PROFECO).

16. Amendments to the Terms

The University reserves the right to amend these Terms at any time to reflect regulatory, technical, commercial, or operational changes. Amendments will be published on the Site with an indication of the date of the last update. Continued use of the Site or the Services following publication shall constitute acceptance of the amended Terms. If the user does not agree with the changes, they must stop using the Site and the Services.

By accessing the Site, creating an account, enrolling in a program, or using the Services, you confirm that you have read, understood, and accepted these Terms and Conditions of Use.
